Expanded Portfolio to Own the Enterprise Edge with API and Identity Offerings

Paris, 7 November 2012 - Axway (NYSE Euronext: AXW.PA), announces its intent to acquire Vordel, a leader in software technologies enabling enterprises to deliver APIs for Cloud and Mobile. The acquisition of Vordel's API and Identity capabilities will expand Axway’s MFT, B2B and integration heritage, providing customers with a single solution to own the enterprise edge, and govern flows of data that extend to Cloud and Mobile.

The combination of Axway’s leadership in MFT, B2B and integration, with Vordel’s leadership in API Management, SOA Governance and Identity management, will provide customers with a full suite that serves all enterprise integration patterns. Data flowing across the enterprise edge will now be governed, with one solution, whether the data is B2B, MFT, API or web services. The Axway/Vordel suite of offerings will change the dynamic of the enterprise edge, extending to cloud integration, with mobile access to legacy data, and innovative identity solutions. Central policy management will provide end-to-end visibility, from Cloud to on-premises, from B2B to API and from legacy to mobile.

The Vordel products and solutions will become core to the Axway Suite. Vordel customers and partners will benefit from enhanced investment in the Vordel future, as well as the value enabled by being part of the larger Axway Suite. Axway’s 11,000 customers will receive immediate benefit from the complementary services and expertise currently offered by Vordel. The Strategic fit will go well beyond complementary portfolios and will be introduced to the market in the near future.

Axway Software plans to acquire 100% of Vordel Limited and subsidiaries. The transaction will be funded through our existing bank credit line. This initiative is expected to be accretive to Axway within the first year and we expect revenue synergies by the addition of the Vordel products to our suite. The proposed transaction is subject to customary closing conditions, such as submission to the Works Council, in accordance with legal provisions. We would expect the transaction to close and be consolidated within Axway accounts within the quarter. Financial terms have not been disclosed. The details of this transaction will be announced after the project has been finalized.

Why is Axway acquiring Vordel?

The dynamics and expectations of integration in the IT department have been changing for years. Now this change is accelerating due to converging forces comprised of Big Data, Cloud services, Mobile devices, and Social collaboration. In addition, there are new business demands around unstructured data, BYOD trends, and SaaS. Currently these demands are poorly met through a variety of disconnected and ungoverned systems.

With the acquisition, Axway now leads the market for integration capabilities necessary to meet the changing needs of the enterprise, whether they be file, message or web service, cloud or ground or on mobile devices. Complex integration patterns can be delivered and governed from one solution, hybrid infrastructures can become a reality, and legacy applications can be leveraged to the cloud and mobile devices.

The products and technologies of Axway and Vordel are very complementary. The Vordel API Server provides key capabilities for the Axway Suite in the areas of identity, security, and visibility. It also provides a foundational technology for future cloud offerings. What are the details of the transaction?

How will the acquisition affect Axway’s current customer base?

Vordel products and technologies will be integrated into the Axway Suite to enhance and extend the existing governance, security, and management capabilities of the suite. As this integration progresses, Axway customers will benefit from the enhanced capabilities derived from Vordel products and technologies.

However, the acquisition of Vordel does not affect Axway customers in terms of their usage of current Axway products. Any changes will come in the form of product enhancements and new product offerings based on Vordel capabilities.

How will the acquisition affect Vordel’s current customer base?

The Vordel API Server and associated products will continue to be enhanced and sold as standalone offerings. Vordel customers will benefit from the financial stability that Axway brings to the Vordel team. Axway has over 1,700 employees located in more than 20 countries worldwide.

In the near future, Vordel customers will be able to benefit from a complete integration suite that includes Axway’s industry leading B2B, Managed File Transfer and visibility solutions.

Customers with both Axway and Vordel products will benefit from a future combination of product support and services functions. They will also see integration between the products as Axway products utilize the enhanced capabilities provided by Vordel products and technologies.

In the meantime, Vordel Customers should see no changes in how Vordel conducts day-to-day business; service and support will be delivered in the same fashion, by the same personnel.

What plans exist for product suite integration?

We intend to leverage the capabilities of Vordel products and technologies to enhance and extend the Axway Suite offerings. This will accelerate our time-to-market for key features of the Axway Suite and provide a foundational base for current and future cloud offerings.

As in previous acquisitions, Axway has a history of integrating offerings in a Suite-like way, adding value by being part of a Suite of additional integration and governance offerings, while maintaining product level roadmaps, deployment capabilities and continued investment. We expect this to be the case with the Vordel products & solutions.

More specific plans will be released in 2013.

Will my support change?

For the immediate future, nothing will change. You will continue to contact the support team in the same way that you currently do and you will receive the same exemplary support and guidance. Over time, Vordel customers will benefit from the single point of contact for all support related issues and from the ‘follow the sun’ and mission critical support offerings that Axway customers experience today.

Will pricing change on any products?

We don’t anticipate immediate price or licensing changes.

Will any products be discontinued, or versions phased out?

There are no current plans to discontinue or phase-out any products or versions other than would be consistent with any current plans of Vordel, or based on their standard policy. Future roadmaps have not been determined as we still have ongoing research and integration work to do. Historically, Axway has integrated acquired technologies in phases as prioritized by our customers and the market.

Do Axway and Vordel have customers in common?

Yes, there are a number of common customers in industries like Banking, Financial Services, Automotive, Logistics and Public Sector.

Will this affect any of the current partners and resellers from Axway and Vordel?

The only changes should be positive, as both companies recognize the importance of Vordel’s Partner relationships. Vordel Partners may have the opportunity to sell an expanded set of product, solutions and services. Current system integrator partners will enjoy more complementary components to deliver better, more complete integration solutions to their customers. For existing OEM relationships there would be no overlap.

What happens to our individual partner's program status and contract with Vordel?

Vordel Partners should not experience any change in the near term.

Will there be any changes to pricing and margins under the current Vordel contract?

No. At this time there will no changes to pricing and margins for Partners under the current Vordel contract.

Will there be any changes to the sales process and the manner in which new customers are implemented?

No. It’s business as usual. For the foreseeable future, resellers will continue ordering the Vordel products as before, through normal channels. All new customer orders will be processed and implemented in the same manner as before.

What will happen to the Vordel brand, website, etc.?

The Vordel website will continue indefinitely, but will be co-branded. Over time, Vordel collateral will eventually fall under the Axway brand.

Will Vordel employees be going to Axway?

Absolutely. Axway is very excited to add the Vordel team. They are talented, passionate and completely aligned with the culture and values of Axway.

What impact will the acquisition have on the Vordel product portfolio and roadmap?

The Axway and Vordel markets and product portfolios are extremely complementary. And while there is a goal for portfolio integration for the benefit of our customers, we recognize that there is still a robust market for API Server and Identity middleware products and solutions. Vordel products will benefit from maintaining product level roadmaps, deployment capabilities and continued investment.

Will Vordel continue to service customers in existing geographical and sectoral markets?

Absolutely. In fact, the merger with Axway will ensure that Vordel is better positioned to service our customers in all corners of the globe. The combined entity will have offices in over 20 countries around the globe, with over 1700 employees.
